I am looking for someone to write a simple business agreement between two small companies.
Introduction / Purpose:
The purpose of the agreement document is to capture a business arrangement between two companies. Company A solicits business opportunities in Yemen and communicate / forward these opportunities to Company B. Company B will carry out the services and share revenue with Company A. The business opportunities pertain to goods and services (mostly maintenance and engineering) in the oil fields of Yemen. Company A receives request from companies in the oil fields of Yemen in the form of an email, RFQ (request for quote) or other form of communication.
Company A will forward these requests to Company B. Company A will also provide all the necessary support to Company B to facilitate successful services.
The terms of this agreement will be for two years.
Roles and Responsibilities:
• Company A:
o Using our long terms contacts and affiliations, we will seek business opportunities in the Oil Fields of Yemen to provide Maintenance and Engineering related services by obtaining RFQs and Tenders.
o We will provide support in Yemen: legal, logistics, etc.,
• Company B:
o Will make all the necessary arrangements and provide services timely.
o Communicate to EGV Group or local affiliate in Yemen if the service is to be provided by a third party;
o The use of a third party has to follow the same non-compete / non-disclosure agreement;
o Financial agreement - Revenue Sharing: major projects 30% of revenue to EGV group; Minor Services: 15%;
