Audio conversion + join software

I need a software that can:

-> convert wav to mp3

-> mp3 to wav

-> cut/trim/join and save from one point to another

-> should be able to adjust Attributes (Khz & Kbps)

-> more formats later

-> if possible transfer over data cable

and thats it.

I need the program written, not a premade one. I would prefer if it was written in (in order of pref) VB,.NET, VC++, C

Also for cut and trim, users should be able to specify how long and from what point.
